Hamilton Locke is proud to have played a role in our client JustFund’s recent significant funding milestone – the establishment of a A$200 million securitisation warehouse facility with MA Financial Group, which reached financial close on 4 July.
Our Head of Finance, Zina Edwards, led a cross-practice Hamilton Locke team in supporting JustFund on the transaction, including Ed Macgregor (Senior Associate – Finance), Monty Loughlin (Partner – Finance) and Lachlan Stagoll (Solicitor – Finance), Seema Sandhu (Partner – Tax), Catherine Nufer (Special Counsel – Tax), Anushka De Alwis (Special Counsel – Tax) and Crystal Xu (Lawyer – Tax) and Jaime Lumsden (Partner – Financial Services) and Chris Deeble (Special Counsel – Financial Services).
Our role involved drafting all the transaction documentation to set up JustFund’s Master Trust program (to be used for this facility as well as for future warehouse facilities) as well as drafting and negotiating warehouse documents for JustFund’s first trust funded by MA Financial Group as Class A and Class B Noteholder.

We have been on the growth journey with the JustFund team as legal advisers since their first debt facility in 2022 from chair/co-founder Craig Carroll and, following this, on subsequent financings and upsizes.
“It is great to see the JustFund business continue to grow in reach and impact – giving people, particularly vulnerable women, a way to access the court system when they would otherwise not have that option.”
Co-founders Jack O’Donnell, Andy O’Connor and Craig Carroll launched JustFund in January 2022 to provide loans to Australians who are unable to pay upfront for the legal costs of their separation or divorce. A majority of JustFund’s clients are women and nearly two-thirds have experienced financial control or domestic abuse.
JustFund was ranked fifth on The Australian Financial Review Fast Starters List in 2024 and recently won the award for Excellence in Lending (Business & Consumer) at The Finnies 2025 (run by Fintech Australia).
