Hamilton Locke is pleased to have advised Sow Good Inc. (Nasdaq: SOWG), a leading U.S.-based freeze-dried food and candy manufacturer, on its acquisition of the wholly owned Tanzanian subsidiaries of Ryzon Materials Ltd, the holders of the Nachu graphite exploration and development project located in the Ruangwa region of Tanzania.
The Nachu Project is an advanced near-term graphite exploration and development project with significant high purity, large flake graphite potential. The transaction values the Nachu Project at an aggregate consideration of AUD$150,000,000, to be satisfied entirely by the issuance of Sow Good common shares pursuant to a share purchase agreement.
The transaction represents a compelling strategic opportunity for Sow Good to diversify into the natural graphite and lithium-ion battery anode sectors, with the Nachu Project serving as a platform for long-term value creation for Sow Good stockholders.
Hamilton Locke advised Sow Good on all Australian legal aspects of the transaction, including corporate and M&A advisory in connection with the share purchase agreement and acquisition process.
