Hamilton Locke advises Snow Lake Energy on cross-border acquisition of Global Uranium and Enrichment Ltd

Hamilton Locke is advising Snow Lake Energy Ltd, a Nasdaq-listed company, on its acquisition of Global Uranium and Enrichment Ltd (ASX:GUE) via an Australian scheme of arrangement.

The transaction is structured as an all-scrip deal, featuring a novel floating exchange ratio based on a fixed cash amount of $0.0968 per GUE share.

This innovative structure enables Snow Lake to offer a compelling value proposition to GUE shareholders while navigating market volatility and continuing its broader corporate development strategy. The acquisition strengthens Snow Lake’s position in the global uranium supply chain and reflects growing international interest in the US critical minerals sector.

Hamilton Locke’s team is providing comprehensive legal support across public M&A, foreign investment, and cross-border regulatory matters. The deal is being led by James Nicholls, with support from Emily Eardley, Alexis Brensell and Emily Wang. Foreign investment advice is being provided by Clementyne Rawlyk and Emily Taylor.
