Hamilton Locke is pleased to have advised Tilray on the successful acquisition of BrewDog Brewing Australia Pty Ltd (BrewDog Australia), comprising BrewDog’s Australian brewing and production facility in Brisbane, Queensland, together with two BrewDog bar locations in Australia.
BrewDog Australia is the Australian operating entity of the internationally renowned craft brewery BrewDog, founded in Scotland and now operating globally. BrewDog Australia operates two licensed venues, DogTap Brisbane and BrewDog Fortitude Valley, and brews and supplies craft beers to major supermarket and liquor store chains across Australia.
This transaction forms part of a broader acquisition and restructure by Tilray of BrewDog’s global operations, which also encompasses BrewDog’s United Kingdom operations. This transaction represents a further step in Tilray’s strategy to build out a premium craft beer portfolio across key international markets, with Australia serving as a strategic hub for expansion across the Asia-Pacific region.
The transaction was structured as a share purchase and was completed within an exceptionally compressed timeframe.
Hamilton Locke advised Tilray across all key workstreams, including corporate, restructuring and insolvency, property, licensing, employment, and tax.
