Samuel Brown

Samuel is an experienced property projects and investments lawyer specialising in real estate and infrastructure transactions, developments and investment funds. His expertise includes acquisitions and disposals of development and built form assets, project and development agreements, title structuring and subdivisions, transaction and investment structuring, management agreements and complex leasing.

Combining commercial acumen with technical expertise, Samuel is known for his responsiveness, solutions-based approach with his clients. Samuel’s work spans various real estate asset classes, including health, industrial, commercial-residential, data centres, retail, office and mixed use assets and mixed-use sectors.  He also has significant experience with new energy projects, across a variety of wind farm, solar farm and BESS projects.

Prior to joining Hamilton Locke, Samuel was at K&L Gates, Watson Mangioni, and Herbert Smith Freehills.

Capital Transactions:

  • Assisted the Milligan Group and Merricks Capital in relation to the divestment of 32-36 York Street, Sydney to a global asset management firm.
  • Advised Soilbuild on the acquisition of a 25% freehold interest in the Coca-Cola Building in North Sydney, from M&G Real Estate. The transaction included fund establishment, debt finance and associated advice in relation to FIRB regulations and the ACCC merger rules.
  • Acted for Centennial Property Group on the sale of an industrial warehousing facility in Smithfield, NSW to a commercial real estate services and investment company for AU$48.1 million.
  • Acted for Centuria on the acquisition of an Allied Express and Daikin tenanted industrial facility in Royal Park, South Australia from Centennial Property Group.
  • Acting for Centuria on the acquisition of an industrial complex at Gauge Circuit, Canning Vale, WA.
  • Acted for Real IS on its acquisition of 8 Windmill St, Millers Point from Marks Henderson.
  • Acted for the Kurraba Group on the acquisition and fund raising to acquire various buildings from a number of vendors in Waterloo, NSW to be redeveloped as a life sciences precinct.
  • Acted for Vivacity, backed by capital partner and co-investor CorVal, on the acquisition of three contiguous sites for development as a land lease community.
  • Assisted a private investment group with the acquisition from RAM Group of the Tanilba Bay Shopping Centre, NSW for AU$23 million.
  • Acted for Lendlease on the sale of the Darling Square retail stratum portfolio.
  • Acted for Real IS on the landmark ~$363.5 million sale of the Geoscience Australia headquarters in Canberra to Charter Hall.
  • Acted for Real IS on the ~$290 million sale of the ATO Building, Canberra to Charter Hall.
  • Acted for Lendlease on the sale of the award winning Darling Exchange building in Darling Square.
  • Acting for Watson’s Coldstore on the sale of an industrial facility in Wetherill Park.
  • Assisting Lendlease with negotiations with investors on the initial AUD2 billion equity investment into the fund to acquire Towers 1 and 2, International Towers Sydney, Barangaroo.

 

Development:

  • Assisting CPB with the development of the Gadigal Metro Station and associated over station developments comprising Parkline Place and Indi Sydney.
  • Advised an Australian developer Traders in Purple on the entry into a Project Delivery Agreement with Homes NSW to deliver a mixed-use 8-storey development, including 113 social and affordable housing units, in Padstow, New South Wales, Australia.
  • Acting for Stockland on its bid and negotiations with NSW Land and Housing Corporation to be appointed as developer of the Waterloo South precinct.
  • Acting for Sydney Fish Market Pty Ltd on the negotiation of an agreement for the redevelopment and relocation of Sydney Fish Market by the Infrastructure NSW (formerly UrbanGrowth Development Corporation).
  • Acted for Opal Health Care on its co-development arrangements with Levande for the development of a vertical retirement and aged care facility in Epping.
  • Acted for Real IS on its refurbishment project including the agreement for lease and new lease with the Department of Defence in relation to Defence Plaza at 661 Bourke St, Melbourne.
  • Assisting Lendlease with the ~$3.4 billion development of Darling Square within the Sydney International Convention, Exhibition and Entertainment Precinct at Darling Harbour, including: a commercial building in the NW Plot at Darling Square, in respect of which the office space will be wholly occupied by CBA; the mixed use SW Plot, NE Plot and SE Plot at Darling Square, each comprising three residential towers and a retail stratum; the mixed and civil use ‘place making’ building in the North Plot at Darling Square comprising commercial and retail uses, known as ‘The Exchange’; and two student accommodation buildings.
  • Assisting Lendlease with the ~$6 billion development of various sites at Barangaroo, including: the proposed Crown Casino site; three proposed high-rise residential towers; three major office towers, being Tower 1, Tower 2 and Tower 3, International Towers Sydney, Barangaroo; and, two low-rise residential apartment buildings.
  • Assisting Lendlease with the subdivision and development of a new 5 star hotel as part of the Sydney International Convention, Exhibition and Entertainment Precinct at Darling Harbour.
  • Advising NSW Ports, assisted by Goodman, on its development and leasing up of sites within the Enfield Intermodal Logistics Centre, a 60 ha masterplan approved site comprising serviced land and active container storage parks.
  • Represented NSW Ports on the development and granting of tenure arrangements for the AIE liquid natural gas import facility at Port Kembla, which has been designated as state strategic infrastructure development. The work involved negotiating wet land tenure arrangements with the State Government and negotiating documentation for the development and lease of a floating regasification unit and installation of a gas pipeline.
  • Represented NSW Ports in its AUD120M funding contribution to the development of rail infrastructure at Port Botany.
  • Advising RATCH on all property related matters connected to its AUD340 million project financing for the development of the Collector Wind Farm.
  • Assisting RATCH with exercising its lease and easement options to bring into existence its tenure arrangements for the Collector Wind Farm.
