Jay Sprott

Jay is a member of the firm’s corporate team, with a particular focus on corporate, securities and commercial law advisory and transactional work in the Corporate M&A. Jay also has experience in the FinTech, Financial Services & Insurance sectors.

He has advised on a range of M&A transactions, including conducting legal and regulatory due diligence, drafting and negotiating sale and purchase agreements, and advising on term loan arrangements and other transaction documents. Jay also has experience in capital raising (i.e. subscription agreements, shareholders’ agreements)  and advising on employee incentive schemes.

Jay brings energy and dedication to his work. He enjoys navigating complex legal frameworks, applying his finance background and supporting clients through strategic transactions. He values building strong, long-term relationships internally and with clients and is committed to delivering practical, forward-thinking solutions while meeting clients’ timeframes.

Jay has experience in capital markets (private and public), corporate, commercial and FinTech/financial services laws. This experience covers the Companies Act, the Financial Markets Conduct Act, NZX Listing Rules, the Fair Trading Act (including unfair contract terms) and the Limited Partnerships Act. This experience also covers the Anti-Money Laundering and Countering Financing of Terrorism Act, the Insurance (Prudential Supervision) Act and the Financial Service Providers (Registration and Dispute Resolution) Act. This enables him to assist clients with multiple forms of commercial transactions as well as assisting clients launching investment products and services (including digital investment products and services) in New Zealand or globally. Jay also has experience advising on commercial arrangements for Mitsui Sumitomo Insurance.

SELECTED REPRESENTATIONS
  • Advised a global insurance distribution group on the acquisition of a New Zealand commercial insurance underwriting agent – including establishing an NZ subsidiary, carrying out legal and regulatory due diligence on the target and advising on transaction documents.
  • Advised Elemental Concept (2016) Limited, a UK based technology consultancy on the 100% acquisition of a New Zealand customer and employee experience consulting business.
  • Advised Utility Fleet Vehicles Limited on the acquisition of UBCO Limited and UBCO Holdings Limited’s assets from receivers and implementing the post-acquisition restructuring of Utility Fleet Vehicles Limited.
  • Advised Mitsui Sumitomo Insurance (New Zealand branch) on various commercial arrangements with multiple insurance distributors in New Zealand.
  • Advised a security business on its acquisition of a covert security business – including high-level legal due diligence and advising on the sale and purchase agreement and vendor finance arrangements.
  • Advised a client on its acquisition of a cosmetics business franchise – including advising on the sale and purchase agreement and complex vendor finance arrangements.
  • Advised an NZX listed company on a potential reverse takeover as well as finalising documents for a proposed renounceable rights offer, gaining extensive knowledge and understanding of the NZX Listing Rules (and associated NZX guidance and practice notes) and the Takeovers Code.
