Jay is a member of the firm’s corporate team, with a particular focus on corporate, securities and commercial law advisory and transactional work in the Corporate M&A. Jay also has experience in the FinTech, Financial Services & Insurance sectors.
He has advised on a range of M&A transactions, including conducting legal and regulatory due diligence, drafting and negotiating sale and purchase agreements, and advising on term loan arrangements and other transaction documents. Jay also has experience in capital raising (i.e. subscription agreements, shareholders’ agreements) and advising on employee incentive schemes.

He values building strong, long-term relationships internally and with clients and is committed to delivering practical, forward-thinking solutions while meeting clients’ timeframes.
Jay has experience in capital markets (private and public), corporate, commercial and FinTech/financial services laws. This experience covers the Companies Act, the Financial Markets Conduct Act, NZX Listing Rules, the Fair Trading Act (including unfair contract terms) and the Limited Partnerships Act. This experience also covers the Anti-Money Laundering and Countering Financing of Terrorism Act, the Insurance (Prudential Supervision) Act and the Financial Service Providers (Registration and Dispute Resolution) Act. This enables him to assist clients with multiple forms of commercial transactions as well as assisting clients launching investment products and services (including digital investment products and services) in New Zealand or globally. Jay also has experience advising on commercial arrangements for Mitsui Sumitomo Insurance.
