Lawyer – Corporate, M&A and Private Equity

Sam is passionate about working with clients to achieve their commercial objectives.

Sam is a corporate lawyer whose practice focuses on corporate advisory, public and private M&A and equity capital markets. He has advised on a broad range of commercial transactions including, ASX listings, capital raisings, corporate restructurings, acquisitions and disposals in the resources, tourism, agribusiness and life sciences industries.

Sam has experience advising companies and boards on corporate governance and securities law matters, including continuous disclosure, directors' duties, Corporations Act and ASX listing rule compliance. He also has experience assisting clients with complex shareholder disputes involving oppressive conduct.

Prior to joining Hamilton Locke, Sam worked for global law firm Jones Day in its M&A practice group.

  • Advised LGIAsuper on its A$45 million acquisition of Suncorp’s superannuation business, through the acquisition of Suncorp Portfolio Services Limited
  • Advised Orocobre Limited in relation to its $6 billion merger with Galaxy Resources Limited by way of scheme of arrangement, to create one of the world's largest lithium companies.
  • Advised Morgans as underwriter in relation to Sovereign Cloud’s $35 million entitlement offer.
  • Advised leading active wear manufacturer Active Apparel Group on a corporate restructure in Australia, China and the United States.
  • Advised a sovereign wealth fund in relation to acquisition of Australian agricultural assets.
  • Advised the directors of an Australian retail bank in relation to its continuous disclosure policy.
