Patricia Paton

As a capital markets specialist, Patricia has been involved in some of the most complex and high-profile initial public offerings and other capital market transactions in recent years. She approaches her work with persistence and calm and is particularly keen on teamwork and collaboration within the immediate Hamilton Locke team, as well as with clients.

Patricia's experience includes advising issuers, underwriters and managers across the full ambit of capital market transactions in both the listed and unlisted space. This includes pre-IPO raisings, initial public offerings, issuances of hybrid securities, convertible note and debt offers, accelerated and traditional entitlement offers, placements, share purchase plans, dividend reinvestment plans and block trades. She has a deep understanding of the regulatory landscape, including the ASX Listing Rules, continuous disclosure requirements, corporate governance, and also works closely with her clients in relation to executive and employee incentive arrangements, and private company mergers and acquisitions.

Patricia has experience working in Australia and the UK and prior to joining Hamilton Locke, worked at Clayton Utz in Sydney, and Osborne Clarke in London.

  • Advised Moelis, Ord Minnett and Shaw and Partners on Elanor Commercial REIT’s A$255 million IPO and ASX listing.
  • Advised stapled property fund manager Primewest on its A$300 million IPO and ASX listing.
  • Advised Bain Capital on the sell down of part of its interest in MYOB Group, raising A$355 million.
  • Advised financial services software provider Bravura Solutions on its A$350 million IPO and ASX listing.
  • Advised Irish healthcare software solutions provider Oneview Healthcare on it’s A$200 million IPO and ASX listing.
  • Advised Origin Energy on a range of capital markets transactions including on its A$900 million offer of ASX listed hybrid notes; A$2.3 billion entitlement offer (PAITREO); US$500 million 144A senior unsecured notes offer; and Euro500 million hybrid issue.
  • Advised Salmat on the sale of its Business Process Outsourcing division to Japan's FUJIFILM Holdings Corporation for A$375 million.
