Daniel Zakrzewski

Dan is a pragmatic and commercially minded banking and finance lawyer known for his direct and efficient approach. He advises a broad range of clients, including traditional and alternative lenders, borrowers, and sponsors, across a wide spectrum of financing transactions.

His core focus areas include private credit, asset-based lending, corporate debt, and leveraged finance. Dan also has significant experience advising on fund finance, project and infrastructure funding, and real estate lending.

With a strong background in private credit, Dan brings a dual perspective to transactions—having worked both as external counsel and in-house. He is solutions-oriented and committed to balancing legal risk with commercial outcomes to help clients achieve their strategic objectives.

Before joining Hamilton Locke, Dan worked at Addleshaw Goddard LLP in the UK. He completed a secondment with the private credit structuring team at global investment manager Aberdeen Group. In addition, Dan worked as a consultant, advising UK businesses on a range of legal and commercial matters.

SELECTED REPRESENTATIONS
  • Represented Naked Wines PLC in respect of a US$60,000,000 credit agreement from PNC Bank, National Association to refinance the group’s existing indebtedness to Silicon Valley Bank in the UK, Australia, and the USA.
  • Advised lenders in respect of £70,000,000 syndicated asset-based finance facilities (P&M and invoice finance) to Fox Brothers Group Ltd.
  • Acted for lenders in a £100,000,000 limited recourse receivables facility for a UK target in the context of a cross-border buy out.
  • Project managed the due diligence and bidding process for a client in preparation for the competitive wind farm bidding process requiring an investment of at least £500,000,000.
  • Acted for an investment bank as lender in a €200,000,000 million capital call loan facility to a European private equity fund.
  • Represented a club of lenders in respect of a £133,602,000 refinancing of two shopping centres.
  • Advised a bank in the refinance of a law firm active in several jurisdictions including the UK, Australia, and USA. The lending consisted of £50,000,000 term and £32,000,000 revolving facilities alongside £8,000,000 term, £5,000,000 guarantee and £6,000,000 overdraft bilateral lines.
  • Structured a legal and guarantee framework agreement enabling alternative lenders to provide loans to law firms in a foreign jurisdiction, secured by a regulator-backed guarantee.
  • Worked on several high-profile private placements in the infrastructure and energy sectors, including a £98,000,000 investment in EnBW, and a €60,000,000 investment in Societa Gasdotti Italia S.p.A.
  • Assisted a lender in an original financing and subsequent refinancing of a £90,000,000 funding of construction and operations of a prominent whisky distillery.
